Section 161 — Term of office of directors
Statute text
(1) A director elected under sections
159 or 162 shall hold office for a period of three years unless he earlier resigns,
vacates office due to fresh election required under section 162 as the case may be,
becomes disqualified from being a director or otherwise ceases to hold office:
Provided that the term of of fice of directors of a company limited by
guarantee and not having share capital may be a period of less than three years as
provided in the articles of association of a company.
(2) Any casual vacancy occurring among the directors may be filled up
by the directors and the person so appointed shall hold office for the remainder of
the term of the director in whose place he is appointed.

Amends Circular 7/2025 - in paragraph 3, "within fifteen days" is replaced with "within thirty days." Companies may now hold the director election in the AGM itself if the election falls due within 30 days after the AGM.
Addresses a practical gap: companies under s.158/s.161 were holding a separate EOGM days after the AGM just to elect directors. SECP permits holding the election in the AGM itself where it falls due shortly after. Effective appointment date remains the actual date the outgoing board's term completes - the AGM date does not override it. Supersedes Circular 03/2006.
