Regulation 63 — Global Register of Beneficial Ownership

(1) Subject to the requirements of section
452, every substantial shareholder or officer of a company having shareholding in a foreign company
or body corporate shall report to the company in the following manner, his shareholding or any other
interest as notified by the Commission, within thirty days of holding such position or interest:

(2) The company shall submit all the information received by it, in terms of sub-regulation
(1) of this regulation during the year and sub-section (3) of section 452 of the Act during the year to
the registrar on Form-11 along-with the annual return. In case the company is not required to file
annual return, it shall only file Form-11 within thirty (30) days from the last day of the calendar year
to which it relates:
Provided that no such return is required to be filed by the companies in case of “Nil”
information.
