Reporting a Change in Shareholding, Membership, or Voting Rights (Form-3)

Whenever ownership or voting control of an unlisted company shifts significantly, the registrar's public record needs to keep up. This covers when Form-3 is mandatory, what has to support it, and when you can — and arguably should — file it even below the legal trigger.

Steps

  1. Watch for the more-than-25% trigger — under Section 465(4), any single change of more than 25% in a company's shareholding, membership, or voting rights must be reported to the registrar; this applies to every company except listed companies.
  2. File Form-3 within 15 days of the day the more-than-25% threshold is reached, as required by Regulation 41 of the Companies Regulations, 2024.
  3. For a share transfer of more than 25%, attach a supporting affidavit on stamp paper confirming the correctness of Form-3's contents, signed by the same person who signed Form-3, and attested by an oath commissioner and witnessed.
  4. Know you can file below the threshold too — Circular No. 9 of 2024 clarifies that, because of the practical difficulty of reporting transfers under 25%, an unlisted company may also voluntarily file Form-3 for any shareholding, membership, or voting-rights change of 25% or less.
  5. Consider filing voluntarily where it matters — the registrar's shareholding and membership data is publicly available, so keeping smaller transfers on record helps avoid later disputes over who actually holds what.
  6. Remember the registrar's broader power to demand accuracy — under Section 465(1)-(3), the Commission or registrar can at any time require a company, or a class of companies, to file a special return signed by all directors to rectify the record; that return is treated as conclusive evidence, and the signing directors are personally liable for any loss caused by incorrect information in it.
  7. Treat Circular No. 9 of 2024 as guidance issued under Section 510 clarifying Section 465/Regulation 41 — it doesn't create a new filing obligation of its own, it just confirms a voluntary option that wasn't previously spelled out.
